Donzo Terms Of Service.

These Terms Of Service explain the rules for using Donzo’s website, early access list, meal planning tools, grocery list tools, grocery order support, and related services.
In these Terms, “Donzo,” “we,” “us,” and “our” means BC1343467 LTD, doing business as Donzo. “You” and “your” means the person visiting our website, joining our early access list, creating an account, using Donzo, requesting grocery order support, or otherwise interacting with our services.
By accessing or using Donzo, you agree to these Terms. If you do not agree to these Terms, do not use Donzo.
1. What Donzo Does.
Donzo helps busy households plan dinners, build grocery lists, and get grocery orders ready for pickup or delivery.
Depending on the features available to you, Donzo may help you:

Create a household food profile.

Choose dinner preferences.

Receive meal suggestions.

Review and swap meals.
-
Build grocery lists.
-
Combine ingredients into a grocery order.

Prepare grocery orders for pickup or delivery.

Request manual grocery order support.

Receive updates, reminders, and service communications.
Donzo may be offered through a website, web app, mobile app, form, email, text message, or other channel.
2. Early Access And Beta Use.
Donzo may be offered as an early access, beta, test, or limited release service.
During early access, features may be incomplete, unavailable, experimental, or changed at any time. We may add, remove, pause, or modify features without notice.
We may limit access based on location, household type, grocery store availability, order volume, operational capacity, or other business reasons.
Joining the early access list does not guarantee that you will receive access to Donzo or that access will be available by a certain date.
3. Eligibility.
You must be at least the age of majority in your province, territory, state, or country to use Donzo.
By using Donzo, you confirm that you can legally enter into these Terms and that all information you provide to Donzo is accurate, current, and complete.
Donzo is intended for personal household use unless we agree otherwise in writing.
4. Accounts.
Some features may require you to create an account.
You are responsible for:

Keeping your login information secure.

All activity under your account.

Providing accurate account information.

Updating your information when it changes.

Telling us if you believe your account has been accessed without permission.
We may suspend or terminate your account if we believe you have violated these Terms, misused Donzo, provided inaccurate information, created risk for Donzo or others, or used the service in a way that is harmful, fraudulent, abusive, or unlawful.
5. Your Responsibilities.
You are responsible for reviewing all meal plans, grocery lists, grocery items, substitutions, prices, fees, taxes, delivery details, pickup details, and order information before approving or using them.
You are responsible for making sure Donzo has accurate information about your household, preferences, allergies, dietary restrictions, delivery details, and grocery preferences.
You agree not to rely on Donzo as your only source of information for food safety, nutrition, allergies, ingredients, grocery availability, pricing, or medical needs.
6. Allergies, Dietary Restrictions, And Food Safety.
Donzo may use the allergy, dietary, food preference, and household information you provide to suggest meals and grocery items.
Donzo is not a medical service, nutrition service, dietitian, allergy safety service, or food safety service.
You are responsible for reviewing all recipes, ingredients, grocery products, product labels, allergen warnings, substitutions, preparation instructions, and store-provided information before purchasing, preparing, serving, or consuming food.
Food products, ingredients, labels, allergens, nutritional information, packaging, and substitutions may change without Donzo knowing.
Donzo does not guarantee that any meal, recipe, grocery item, substitution, or grocery order will be free from allergens, cross-contamination, dietary conflicts, ingredient changes, or labelling errors.
If you or anyone in your household has a serious allergy, medical condition, dietary restriction, or food safety concern, you should review all items carefully and consult a qualified professional when needed.
7. No Medical Or Nutrition Advice.
Donzo may provide meal ideas, grocery lists, recipe suggestions, and general food planning support.
Donzo does not provide medical advice, nutrition advice, diet advice, diagnosis, treatment, or health recommendations.
Any information from Donzo is for general household meal planning only. You should not use Donzo as a substitute for advice from a doctor, registered dietitian, nutrition professional, allergist, or other qualified professional.
8. Grocery Stores, Delivery Providers, And Third Parties.
Donzo may work with, link to, or rely on third-party grocery stores, grocery platforms, delivery providers, payment processors, analytics tools, software providers, or other services.
Third parties may have their own terms, privacy policies, fees, prices, substitutions, refund rules, cancellation rules, pickup rules, delivery rules, and customer support processes.
Donzo is not responsible for third-party websites, third-party services, grocery store systems, delivery provider systems, payment processor systems, or the actions, omissions, errors, availability, pricing, substitutions, delays, or policies of third parties.
If you use a third-party grocery store, platform, delivery provider, payment provider, or other service, you are also responsible for following that third party’s terms and policies.
9. Grocery Orders And Manual Order Support.
Donzo may help prepare grocery orders for your review and approval.
In some cases, Donzo or its team may manually assist with preparing, submitting, adjusting, or supporting a grocery order.
You authorize Donzo to use the information you provide to prepare and support grocery orders that you request.
You are responsible for reviewing the grocery order before it is placed or finalized. Once an order is placed with a grocery store, grocery platform, or delivery provider, changes, cancellations, refunds, substitutions, and delivery issues may be controlled by that third party’s rules.
Do not send Donzo your grocery store account password. Donzo will never ask you to send your grocery account password by email, text, chat, or form.
If a feature ever allows you to connect a third-party account, you should only do so through the approved connection method provided by Donzo or the third party.
10. Grocery Availability And Substitutions.
Grocery availability can change quickly.
Donzo does not guarantee that any grocery item, ingredient, brand, size, price, sale, pickup slot, delivery slot, or substitution will be available.
If an item is unavailable, the grocery store, delivery provider, Donzo, or you may need to select a substitute, remove the item, adjust the order, or cancel part of the order.
You are responsible for reviewing substitutions before accepting, using, preparing, serving, or consuming them.
Donzo is not responsible for allergic reactions, dietary issues, dissatisfaction, quality issues, pricing changes, or other problems caused by substitutions selected by you, a grocery store, a delivery provider, or another third party.
11. Pricing, Fees, Taxes, And Estimates.
Donzo may display estimated grocery prices, estimated service fees, estimated delivery fees, estimated taxes, estimated markups, estimated savings, or estimated order totals.
Prices and totals may change before checkout or fulfillment.
Final charges may differ from estimates because of grocery store pricing, substitutions, item availability, taxes, delivery fees, service fees, platform fees, tips, deposits, refunds, credits, out-of-stock items, weight-based items, promotions, or other changes.
We will try to make Donzo’s fees clear before you approve an order or payment.
You are responsible for reviewing all prices, fees, taxes, substitutions, and totals before approving an order or payment.
If there is a pricing error, technical error, grocery data error, or obvious mistake, we may correct the error, cancel the affected item, cancel the affected order, issue an adjustment, or contact you for approval before proceeding.
12. Payments.
If Donzo charges you for groceries, service fees, delivery fees, subscriptions, memberships, or other amounts, you agree to pay the amounts shown to you before purchase or approval.
Payments may be processed by a third-party payment processor.
By providing payment information, you authorize Donzo and its payment processor to charge the applicable amounts, including any approved grocery costs, service fees, delivery fees, taxes, tips, adjustments, or other charges.
You are responsible for making sure your payment information is accurate and that you are authorized to use the payment method.
If a payment fails, we may pause, cancel, or refuse the related order or service.
13. Refunds, Cancellations, And Adjustments.
Refunds, cancellations, and adjustments depend on the status of the order and the services involved.
If an order has not yet been placed or prepared, we may be able to cancel it and refund eligible amounts.
If an order has already been placed with a grocery store, grocery platform, or delivery provider, cancellation and refund options may be limited by that third party’s rules.
If an item is unavailable, removed, substituted, damaged, missing, or priced differently, we may issue a refund, credit, adjustment, or revised charge where appropriate.
Service fees may be non-refundable once Donzo has started preparing, processing, supporting, or fulfilling the requested service, unless we decide otherwise or applicable law requires otherwise.
Delivery fees, grocery store fees, payment processing fees, and third-party fees may be non-refundable depending on the third party’s rules.

14. Subscriptions And Recurring Payments.
If Donzo offers subscriptions or recurring payments, the subscription details will be shown before you sign up.
Subscription details may include:

The price.
-
The billing frequency.

What is included.
-
The renewal terms.
-
How to cancel.
-
Any free trial or promotional terms.
By starting a subscription, you authorize recurring charges until you cancel.
You can cancel future renewals according to the cancellation instructions provided. Cancelling a subscription stops future renewal charges, but does not automatically refund past charges unless stated otherwise or required by law.
If Donzo does not currently offer subscriptions, this section applies only if and when subscriptions become available.
15. Promotions, Discounts, And Early Access Offers.
Donzo may offer promotions, discounts, credits, referral offers, free trials, or early access offers.
We may set conditions, limits, expiry dates, eligibility rules, and availability restrictions for any offer.
We may modify, pause, or end an offer at any time unless the offer states otherwise.
Promotions and credits have no cash value unless required by law or stated in writing.
16. Communications.
By signing up for Donzo, joining early access, creating an account, placing an order, or contacting us, you agree that we may send you service-related communications.
Service-related communications may include early access updates, account messages, order updates, support replies, payment notices, policy updates, security notices, and operational messages.
If you opt in to marketing emails, we may also send you product updates, offers, surveys, and other marketing messages. You can unsubscribe from marketing emails at any time.
Unsubscribing from marketing emails does not stop service-related communications.
17. Acceptable Use.
You agree not to:

Use Donzo for unlawful, fraudulent, misleading, abusive, or harmful purposes.

Provide false, inaccurate, or misleading information.

Interfere with Donzo’s systems, security, website, app, or operations.

Attempt to access accounts, data, systems, or areas that you are not allowed to access.

Scrape, copy, harvest, or extract data from Donzo without permission.

Reverse engineer, modify, or misuse Donzo’s software or systems.
-
Upload malware, harmful code, spam, or abusive content.
-
Harass, threaten, abuse, or harm Donzo, its team, contractors, users, or partners.
-
Use Donzo to violate the rights of another person or business.
-
Resell, reproduce, or commercially exploit Donzo without our written permission.
We may investigate and take action if we believe you have violated this section.
18. User Content And Feedback.
You may provide Donzo with information, feedback, preferences, reviews, messages, survey responses, recipe links, meal ratings, order notes, or other content.
You are responsible for the content you provide.
You grant Donzo permission to use that content as needed to provide, operate, improve, analyze, and support Donzo.
If you submit feedback, suggestions, ideas, feature requests, or comments, you agree that Donzo may use them without restriction or compensation to you.
You confirm that you have the right to provide any content you submit to Donzo.
19. Donzo Content And Intellectual Property.
Donzo and its website, branding, design, text, graphics, logos, software, workflows, product features, meal planning systems, grocery list systems, and other materials are owned by Donzo or its licensors.
You may use Donzo only as permitted by these Terms.
You may not copy, reproduce, distribute, modify, sell, license, exploit, or create derivative works from Donzo’s content, software, branding, or materials without our written permission.
Nothing in these Terms transfers ownership of Donzo’s intellectual property to you.
20. Recipes And Third-Party Content.
Donzo may display or link to recipes, recipe inspiration, food images, grocery products, product descriptions, nutrition information, pricing information, store information, or other content from third parties.
Third-party content may be inaccurate, incomplete, outdated, unavailable, or changed without notice.
You are responsible for reviewing recipe instructions, ingredients, cooking steps, temperatures, food safety information, allergen information, product labels, and third-party content before relying on it.
21. Availability And Changes To Donzo.
We may modify, update, suspend, or discontinue all or part of Donzo at any time.
We do not guarantee that Donzo will always be available, uninterrupted, secure, accurate, or error-free.
Donzo may be unavailable because of maintenance, technical problems, third-party failures, staffing limitations, grocery store issues, payment processor issues, delivery provider issues, or other reasons.
22. No Guarantees.
Donzo is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, Donzo does not guarantee:

That meal suggestions will fit your preferences perfectly.

That grocery lists will be complete or error-free.
-
That grocery items will be available.
-
That prices will be accurate or unchanged.
-
That orders will be accepted by grocery stores or delivery providers.
-
That pickup or delivery will happen at a specific time.
-
That substitutions will be suitable.
-
That recipes will be safe or appropriate for your household.
-
That Donzo will meet every expectation or need.
-
That Donzo will be uninterrupted, secure, or error-free.
Some laws may not allow certain exclusions or limitations. In those cases, the exclusions and limitations apply only to the extent permitted by law.
23. Limitation Of Liability.
To the maximum extent permitted by law, Donzo and its owners, directors, officers, employees, contractors, agents, affiliates, service providers, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, personal inconvenience, substitute services, or other losses arising from or related to your use of Donzo.
To the maximum extent permitted by law, Donzo’s total liability for any claim arising from or related to these Terms or your use of Donzo will be limited to the greater of:

The amount you paid to Donzo for the specific service giving rise to the claim in the 30 days before the claim arose.

$100 CAD.
Nothing in these Terms limits liability that cannot be limited under applicable law.
24. Indemnity.
You agree to defend, indemnify, and hold harmless Donzo and its owners, directors, officers, employees, contractors, agents, affiliates, service providers, and partners from any claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from or related to:

Your use of Donzo.

Your violation of these Terms.

Information or content you provide.
-
Your failure to review meals, ingredients, labels, allergens, substitutions, prices, order details, or delivery details.

Your violation of any law or third-party right.
-
Your misuse of Donzo or any third-party service.
25. Privacy.
Your use of Donzo is also governed by our Privacy Policy.
The Privacy Policy explains how we collect, use, disclose, store, and protect personal information.
You should review the Privacy Policy before using Donzo or providing personal information.
26. Termination.
You may stop using Donzo at any time.
We may suspend or terminate your access to Donzo at any time if we believe:

You violated these Terms.

You created risk for Donzo, users, partners, or third parties.

Your account information is inaccurate.

Your payment failed.
-
You misused Donzo.

Continued access would be unlawful, unsafe, or operationally unreasonable.
After termination, parts of these Terms that by their nature should continue will continue, including sections about payments, refunds, intellectual property, disclaimers, limitation of liability, indemnity, privacy, governing law, and dispute resolution.
27. Governing Law.
These Terms are governed by the laws of British Columbia and the federal laws of Canada that apply in British Columbia.
You agree that any dispute related to these Terms or Donzo will be handled in the courts located in British Columbia, unless applicable law requires otherwise.
28. Dispute Resolution.
If you have a concern or dispute, you agree to contact us first at hello@donzodinner.com so we can try to resolve it informally.
We will try to respond within a reasonable time.
Nothing in this section prevents either party from seeking urgent legal relief where necessary.
29. Changes To These Terms.
We may update these Terms from time to time.
If we make material changes, we may notify you by posting the updated Terms on our website, updating the effective date, sending an email, or providing another appropriate notice.
Your continued use of Donzo after the updated Terms take effect means you accept the updated Terms.
If you do not agree to the updated Terms, you must stop using Donzo.
30. Severability.
If any part of these Terms is found to be invalid, illegal, or unenforceable, the rest of the Terms will remain in effect.
The invalid, illegal, or unenforceable part will be interpreted as closely as possible to the original intent while still being enforceable.
31. Entire Agreement.
These Terms, together with the Privacy Policy and any additional terms shown to you for specific features or purchases, make up the entire agreement between you and Donzo regarding your use of Donzo.
